Terms & Conditions

In these Terms and Conditions, unless the context requires otherwise, capitalized terms shall have the respective meanings assigned below:

To subscribe to or use GoFinicky SmartDesk, you must be at least eighteen (18) years of age and possess the legal power and corporate authority to enter into a binding commercial contract on behalf of your commercial firm, trade establishment, or professional business.

By creating an account, registering your business details, or inviting staff members, you represent and warrant that all business registration, PAN, and GSTIN information supplied is genuine, accurate, and up to date, and that you are duly authorized to bind the Subscriber entity to these Terms.

Subscribers may expand their operational team size by provisioning additional user seats to their base plan:

• Additional Standard Staff Users: Available at ₹299 per user per month.
• Additional Administrator Accounts: Available at ₹199 per administrator per month.
• Enterprise Custom Limits: Extra cloud storage quotas or custom high-volume document throughput.

Add-on pricing is charged pro-rata or billed from the subsequent billing cycle after confirmation and payment. You may adjust or de-provision add-on seats before your next renewal cycle.

You are responsible for maintaining the confidentiality and integrity of all login credentials associated with your Admin and Staff accounts. We strongly advise implementing strong passwords and limiting administrative privileges only to trusted personnel.

You must immediately alert us at info@yuvaasoft.com if you detect or suspect any compromised credentials or unauthorized access to your account.

All Content remains your exclusive property. Yuvaasoft claims absolutely zero ownership, copyright, or commercial rights over your customer records, leads, quotation catalogs, sales ledgers, or business invoices stored on SmartDesk.

We process and host your Content solely to deliver the platform features in accordance with these Terms and our Privacy Policy.

Upon termination or non-renewal of your subscription for any reason, you retain the right to request and receive a complete data export (in standard formats including CSV, XLS, and PDF) within fourteen (14) days of your written request. Yuvaasoft will never expunge or purge your business data without providing at least thirty (30) days advance written notice.

The GoFinicky SmartDesk platform, including all visual designs, trademarks, logos, system architecture, database schemas, source code, user interfaces, documentation, and algorithms, is the exclusive intellectual property of Yuvaasoft Technologies Pvt. Ltd. All rights are strictly reserved.

No component of the software may be copied, reproduced, duplicated, distributed, or modified without prior written authorization from Yuvaasoft.

You grant Yuvaasoft a limited, revocable, non-exclusive, royalty-free license to host, process, and display your Content solely to the extent necessary to deliver, maintain, and support the SmartDesk services for your account.

We target a 99.5% monthly platform uptime for GoFinicky SmartDesk. Routine maintenance windows and system upgrades are scheduled during off-peak hours and will be announced by email or dashboard banner at least twenty-four (24) hours in advance.

We are not responsible for service interruptions or latency caused by circumstances outside our reasonable control, including third-party cloud infrastructure disruptions (AWS Mumbai region incidents), public internet routing failures, telecommunication carrier issues, or force majeure events.

Both parties agree to hold all non-public, proprietary commercial data, technical architectures, quotation pricing models, and business information exchanged under this agreement in strict confidence.

Yuvaasoft employees and technical personnel are permitted access to Subscriber databases strictly on a need-to-know basis solely for technical troubleshooting, platform reliability, or customer support requests. All personnel are bound by strict non-disclosure agreements.

To the maximum extent permitted by applicable Indian law, Yuvaasoft’s aggregate cumulative liability to the Subscriber for any and all claims, liabilities, or disputes arising out of or related to these Terms or the use of SmartDesk shall not exceed the total subscription fees actually paid by you in the three (3) months immediately preceding the event giving rise to the claim.

In no event shall Yuvaasoft be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of business profits, goodwill, anticipated savings, trade interruption, or loss of business opportunity, even if advised in advance of the possibility of such damages.

Nothing in these Terms excludes or limits statutory liability that cannot be legally excluded under Indian law, such as liability arising directly from gross negligence, willful misconduct, or fraud.

You agree to indemnify, defend, and hold harmless Yuvaasoft Technologies Pvt. Ltd., its directors, officers, employees, agents, and representatives from and against any third-party claims, liabilities, damages, penalties, and legal costs (including reasonable attorney fees) arising from or connected with:

• Your or your Staff Users’ use of the Platform in breach of these Terms or applicable laws.
• Any tax filing, GST invoicing discrepancy, or commercial dispute between you and your end buyers or customers.
• Any claim that Content uploaded or distributed by you infringes the intellectual property, privacy, or statutory rights of a third party.

You may discontinue or cancel your subscription at any time through your admin account settings or by notifying us in writing. Cancellation takes effect at the conclusion of your current paid billing cycle.

Yuvaasoft reserves the right to suspend or terminate your subscription immediately without notice if you materially breach these Terms, engage in fraudulent or unlawful activities, or fail to resolve subscription dues after the 7-day post-expiry grace period.

Upon termination, your platform access rights immediately cease. However, your right to receive a data export within fourteen (14) days remains fully protected as guaranteed under Section 7.

We reserve the right to modify, amend, or update these Terms to accommodate product advancements, new features, or legislative changes.

Any material changes will be communicated to registered account administrators via email at least fourteen (14) days prior to their enforcement date. The updated Terms will be published on the SmartDesk website with an updated Effective Date. Continued use of SmartDesk following the effective date constitutes your binding acceptance of the revised Terms.

These Terms and any dispute or claim arising out of them shall be governed by and construed in accordance with the substantive laws of the Republic of India.

In the event of any controversy or dispute, the parties shall first endeavor in good faith to resolve the issue amicably through executive negotiations for a period of thirty (30) calendar days.

If informal resolution is unsuccessful, the dispute shall be subject to the exclusive jurisdiction of the competent courts situated in Coimbatore, Tamil Nadu, India.

For users located in the European Union, mandatory statutory consumer protections under local law remain uncompromised where applicable.

These Terms, together with our Privacy Policy, constitute the entire, complete agreement between you and Yuvaasoft regarding your use of GoFinicky SmartDesk. They supersede all prior proposals, understandings, oral communications, or written agreements concerning the subject matter.

If any provision of these Terms is determined to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.
